Welcome to AdvisorOS. These Terms of Service ("Terms") govern your access to and use of the AdvisorOS platform, website, and associated AI-powered tools (collectively, the "Service"). By accessing or using the Service, you ("User", "Advisor", or "Firm") agree to be bound by these Terms.
If you are entering into these Terms on behalf of a Registered Investment Adviser (RIA) firm, broker-dealer, or other legal entity, you represent that you have the authority to bind such entity to these Terms.
1. Description of Service
AdvisorOS provides an AI-powered operating system designed for independent financial advisors. The Service includes automated meeting transcription, CRM note generation, task extraction, compliance documentation review, and client communication drafting.
AdvisorOS is a technology provider, not a registered investment adviser, broker-dealer, or law firm. The Service is designed to assist you in your administrative workflows, but it does not provide financial, investment, legal, or regulatory compliance advice.
2. The "Human-in-the-Loop" Requirement
The core function of AdvisorOS involves artificial intelligence (AI) generating drafts of documents, notes, and emails based on audio or text inputs you provide.
By using the Service, you explicitly agree to the following Human-in-the-Loop Requirement:
- Mandatory Review: You are solely responsible for reviewing, editing, and approving all AI-generated outputs before they are saved to your CRM, sent to clients, or used for official compliance records.
- No Automated Advice: You will not configure the Service (or attempt to configure it) to automatically send unreviewed AI-generated investment advice or financial recommendations directly to clients.
- Accuracy: AI models can produce inaccurate, incomplete, or contextually incorrect information ("hallucinations"). You accept full responsibility for the factual accuracy and regulatory compliance of any output you choose to use.
3. Regulatory Compliance & Recordkeeping
As a financial professional, you are subject to specific regulatory frameworks (e.g., SEC, FINRA, state regulators).
- Your Responsibility: You acknowledge that AdvisorOS is a tool to assist with compliance workflows, but using AdvisorOS does not guarantee that your firm is compliant with SEC Rule 204-2 (Books and Records), Regulation S-P (Privacy), or any other applicable laws.
- Audit Logs: While AdvisorOS maintains an immutable audit log of AI inputs and outputs to assist with your recordkeeping, you remain solely responsible for ensuring your firm's overall data retention and compliance obligations are met.
4. Client Data and Privacy
Your use of client data within the Service is governed by our Privacy Policy.
- Authorization: You represent and warrant that you have all necessary rights, consents, and authorizations from your clients to upload their data (including audio recordings and transcripts) into the Service.
- No AI Training on Your Data: AdvisorOS explicitly agrees that we will not use your proprietary client data, meeting transcripts, or CRM notes to train, fine-tune, or improve our foundational AI models or those of our third-party LLM providers.
- Security: We employ industry-standard encryption (at rest and in transit) to protect your data, but you are responsible for maintaining the security of your account credentials.
5. Pilot Program, Pricing, and Payments
Pilot Pricing Lock: Users admitted to the "Founding 50 Pilot" program are granted a locked-in monthly subscription rate. AdvisorOS agrees not to increase this base subscription rate for the lifetime of the continuous, uninterrupted account.
- Billing: Fees are billed monthly in advance via our payment processor (Stripe). By providing a payment method, you authorize us to charge the applicable fees on a recurring basis.
- Cancellation: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing cycle. No prorated refunds are provided for partial months.
- 30-Day Guarantee: Pilot users are eligible for a 30-day money-back guarantee. If you are unsatisfied with the Service within the first 30 days of your paid subscription, you may request a full refund by contacting support.
6. Limitation of Liability
IN NO EVENT SHALL THE AGGREGATE LIABILITY OF ADVISOROS EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID ADVISOROS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You specifically acknowledge that AdvisorOS is not liable for any regulatory enforcement actions, client disputes, or financial losses resulting from your reliance on AI-generated outputs.
7. Termination
We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms (e.g., using the platform to generate illegal content or failing to pay subscription fees). Upon termination, your right to use the Service will immediately cease.
8. Modifications to Terms
We may revise these Terms from time to time. The most current version will always be posted on our website. If a revision is material, we will notify you via email or a prominent notice within the Service. By continuing to access or use the Service after revisions become effective, you agree to be bound by the revised Terms.
